Evolve Housing Group structure

Evolve Housing Group includes four operating companies

  • Evolve Housing Limited (EHL) (parent company)
  • EchoRealty NSW & ACT Limited (ERNAL) – managing affordable and key worker housing in NSW and the ACT (subsidiary)
  • EchoRealty VIC Limited (ERVL) – managing key worker housing in Victoria (subsidiary)
  • Evolve Housing VIC Limited (EHVL) – providing social and affordable housing in Victoria (subsidiary)

Board of Directors

Evolve Housing’s Board is comprised of a group of highly skilled and knowledgeable individuals, who together bring a wealth of industry and related professional expertise to our Company. 
The Board’s structure, composition and conduct is governed by Evolve Housing’s Constitution and is set out in the Board Charter along with the Board’s role and responsibilities.

As required by corporations law, the Board must exercise reasonable care, skill and diligence in carrying out its role, and to ensure its accountability is fulfilled by addressing its legal and corporate responsibilities.

 

Board Committees

The Evolve Housing Group Board has established various committees, each comprising Board members who have the relevant specialist expertise to focus on the issues specific to that Committee, and make recommendations to the Board. The remit of each committee is set out in its Terms of Reference. Along with Board meetings, committee meetings are scheduled annually in advance, with flexibility for additional meetings to be called if required.

The current Board Committees include:

  • Governance, Nomination and People Committee
  • Transaction Review Committee

Regulation & Compliance

Evolve Housing is:

  • A registered charity with the Australian Charities and Not-for-profits Commission (ACNC)
  • A public company limited by guarantee regulated by ASIC and the ATO
  • Registered with the Victorian Housing Registrar, and is regulated by the Registrar of Housing Agencies, supported by the Office of the Housing Registrar, under the Housing Act 1983 (Vic).

We meet all regulatory standards and reporting obligations and ensure ongoing compliance through an annual audit and assurance regime.

Risk Management, Audit & Assurance

Evolve Housing understands the importance of effective Risk Management to, as much as possible, protect the Company, our clients, employees and other key stakeholders from adverse events, and to support our pursuit of opportunities.

Our Risk Management Policy establishes a mandate and commitment from the Board and Executive leaders for risk management and is supported by a Risk Management Framework for systematically and effectively managing risks to support our long-term sustainability, performance and ability to achieve our strategic goals, whilst ensuring compliance with applicable standards and regulations.
